They prevail over any other document, unless otherwise agreed in writing in the quote.<\/p>\n\n\n<h2 class=\"wp-block-heading\">1. The service provider<\/h2>\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Legoax LLC<\/strong>, which operates under the trade name <strong>Astrak<\/strong><\/li>\n\n<li>a Limited Liability Company organized under the laws of New Mexico (United States), EIN 98-1759763<\/li>\n\n<li>Headquarters: 102 Gold Ave SW, Albuquerque, NM 87102, United States<\/li>\n\n<li>Office in France: 2 rue du Lieutenant Trouflet, 61000 Alen\u00e7on<\/li>\n\n<li>Contact: leo@astrak.agency \u00b7 +33 1 87 66 87 05<\/li>\n<\/ul>\n\n\n<h2 class=\"wp-block-heading\">2. Services<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Astrak provides SEO services, visibility in AI engines (GEO), link building, audits, copywriting, analytics tracking and online advertising. The exact content of each service, its price and its schedule are set out in the quote or commercial proposal accepted by the client.<\/p>\n\n\n<h2 class=\"wp-block-heading\">3. Orders<\/h2>\n\n\n<p class=\"wp-block-paragraph\">The order becomes binding as soon as the client accepts the quote, by signature, by email or by paying the first invoice. Any service not covered by the quote is subject to a supplementary quote.<\/p>\n\n\n<h2 class=\"wp-block-heading\">4. Term and termination<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Monthly engagements have <strong>no minimum commitment term<\/strong>. We recommend an engagement of 6 months to one year to assess results, but the client may terminate at any time by email, with <strong>30 days' notice<\/strong>. The period already invoiced remains payable. One-off services (audit, redesign, training) are due in full once started, or pro rata to the work completed if the client terminates them midway.<\/p>\n\n\n<h2 class=\"wp-block-heading\">5. Prices and invoicing<\/h2>\n\n\n<ul class=\"wp-block-list\">\n<li>Prices are stated excluding VAT. Engagements start at \u20ac900 excl. VAT per month.<\/li>\n\n<li>Monthly engagements are invoiced each month, in advance, on the anniversary date of the start.<\/li>\n\n<li>Invoices are payable upon receipt, by bank card, direct debit or bank transfer.<\/li>\n\n<li><strong>Link budget (link building)<\/strong> : articles and links purchased on the client's behalf are re-invoiced at the price paid to the publisher or platform. The time spent on selection, negotiation and campaign monitoring is invoiced separately, as set out in the quote. A link budget may be requested in advance.<\/li>\n\n<li><strong>Advertising budget<\/strong> : advertising spend (Google Ads, ChatGPT Ads and other ad networks) is paid directly by the client to the ad network, or re-invoiced to the euro if Astrak advances it. Campaign management is invoiced separately.<\/li>\n<\/ul>\n\n\n<h2 class=\"wp-block-heading\">6. Late payment<\/h2>\n\n\n<p class=\"wp-block-paragraph\">In the event of late payment, Astrak may suspend ongoing services after a reminder has gone unanswered for 8 days. Unpaid amounts bear interest at the rate of 1% per month of delay, within the limit allowed by applicable law, and reasonable collection costs shall be borne by the client.<\/p>\n\n\n<h2 class=\"wp-block-heading\">7. Astrak's obligations<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Astrak undertakes to perform the services with care, in accordance with professional standards, and to keep the client informed of the progress of the work (reporting, regular check-ins). Astrak is bound by a <strong>best-efforts obligation<\/strong> : rankings in Google, citations by AI engines and traffic depend on external factors (algorithms, competition, updates). No quantified result or ranking is guaranteed.<\/p>\n\n\n<h2 class=\"wp-block-heading\">8. Client's obligations<\/h2>\n\n\n<p class=\"wp-block-paragraph\">The client gives Astrak the necessary access (Google Search Console, Google Analytics, CMS, advertising tools) and relevant information about its business, and approves deliverables within a reasonable time. Delays in approval or publication on the client's side push back the schedule and expected results accordingly. The client remains responsible for the content of its site and for compliance with the regulations applicable to its business.<\/p>\n\n\n<h2 class=\"wp-block-heading\">9. Ownership of deliverables<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Written content, recommendations and deliverables produced for the client belong to the client once the corresponding invoices have been paid. Astrak's methods, tools, templates and know-how remain its property. Access and accounts created in the client's name are handed over to the client at the end of the engagement.<\/p>\n\n\n<h2 class=\"wp-block-heading\">10. Confidentiality and references<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Each party shall keep confidential the other's information that it learns of during the engagement, for its entire duration and for two years afterward. Astrak may cite the client's name and logo among its references, unless the client objects in writing. A detailed case study is published only with the client's agreement.<\/p>\n\n\n<h2 class=\"wp-block-heading\">11. Liability<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Astrak's liability is limited to proven direct damages, and capped at the amount, excluding VAT, paid by the client for the last three months of service. Astrak cannot be held liable for any loss of traffic, rankings or revenue resulting from an algorithm update, a manual action by a search engine, or a change to the site made without its agreement.<\/p>\n\n\n<h2 class=\"wp-block-heading\">12. Personal data<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Personal data processed in the course of the business relationship is handled in accordance with our <a href=\"https:\/\/astrak.agency\/en\/privacy-policy\/\">privacy policy<\/a>. When Astrak processes personal data on the client's behalf (for example in its analytics tools), it acts as a processor, on the client's instructions.<\/p>\n\n\n<h2 class=\"wp-block-heading\">13. Force majeure<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Neither party shall be liable for a failure to perform caused by a force majeure event, meaning an event that is unforeseeable, unavoidable, and beyond its reasonable control (natural disaster, major supplier outage, government action).<\/p>\n\n\n<h2 class=\"wp-block-heading\">14. Governing law and disputes<\/h2>\n\n\n<p class=\"wp-block-paragraph\">These Terms of Sale are governed by the laws of the State of New Mexico, United States. In the event of a dispute, the parties shall first seek an amicable resolution. Failing that, the dispute shall be brought before the competent courts of the State of New Mexico, in Bernalillo County (Albuquerque).<\/p>\n\n\n<p class=\"wp-block-paragraph\">Last updated: October 8, 2026.
